These Terms and Conditions ("Terms") govern your use of the website at passport2learning.com (the "Site") and any live online language classes, programs, digital products, or related services (the "Services") offered by Passport 2 Learning, Inc. ("Passport 2 Learning", "we", "us", "our"), a business operating out of Calgary, Alberta, Canada.
By enrolling in a class, creating an account, purchasing a digital product, or using the Site, you agree to these Terms. If you do not agree, do not use the Services.

1. Who We Are
Passport 2 Learning is a remote language school offering live, teacher-led French and Spanish classes for children aged 4 to 12. Classes are delivered by qualified and vetted independent contractor teachers, and are available through direct enrolment on passport2learning.com and through our Outschool listings. Our teaching approach follows the TRIPâ„¢ framework (Together, Reimagine, Interact, Progress), prioritising live interaction over app-based or passive learning tools.

2. Who May Enrol and Register
Our Services are intended for children. Because these children are minors, only a parent or legal guardian aged 18 or older may register, create an account, make payment, and agree to these Terms on the child's behalf. By registering, you confirm that:

you are the parent or legal guardian of the enrolled child, or otherwise authorised to enrol them;

the information you provide (age, contact details, learning needs) is accurate and current; and
-
you are responsible for all activity on your account and for your child's supervision during live sessions, particularly for younger children.

3. Discovery Calls and Paid Trial Classes
Prospective families may book a discovery call to discuss their child's language learning goals and fit with our programme. Where applicable, a paid trial class may be offered ahead of ongoing enrolment. Discovery calls and paid trial classes are booked through our website using the tools and scheduling links provided, and are subject to availability.

4. Enrolment, Classes, and Scheduling

Classes are delivered live online via Zoom at scheduled times shown at enrolment. Times are displayed in your local time where possible.

A confirmed enrolment reserves a seat in a specific class or session for your child.

We aim to run every scheduled class, but may reschedule, substitute a teacher, or cancel a class where necessary (for example, teacher illness, technical failure, or insufficient enrolment). If we cancel a class outright and cannot offer a reasonable alternative, you are entitled to a makeup class or a refund for that class as described in Section 7.

Minimum age, prerequisites, and class levels are described at enrolment. We may move a child to a more suitable class where needed, in consultation with you.

5. Membership Options and Pricing
PP2L offers the following enrolment options (prices in USD, subject to change with notice):

Starter Pack: one-time fee of $80

Group Membership: $120 per month

1:1 Membership: $240 per month

Premium Immersion : $420 per month

Membership discount: 5% off for families committing to 3 or more months

Pronunciation Pack (add-on): $47 for 4 x 15-minute sessions
Memberships renew automatically on a monthly basis unless cancelled in accordance with Section 7. Enrolments made through Outschool are additionally subject to Outschool's own terms of service and payment processing.

6. Payment

Payment is processed through Stripe. By enrolling, you authorise us to charge the applicable fees to your chosen payment method.

For recurring or subscription-based enrolments, you authorise recurring charges until you cancel in accordance with Section 7. Billing frequency is made clear at enrolment.

You are responsible for any taxes that apply to your purchase.

If a payment fails or is charged back, we may suspend access to classes until the balance is resolved.

7. Cancellations, Refunds, and Makeups

Membership cancellation: memberships may be cancelled at any time, effective at the end of the current billing period, by contacting us at least 30 days before the next billing date. Cancellations made with less than 30 days' notice will take effect at the end of the following billing cycle.

Per-class cancellation: if you need to cancel or reschedule an individual class within an active membership, at least 24 hours' notice before the class start time is required to be eligible for a makeup credit. Classes cancelled with less than 24 hours' notice, or missed without notice, are non-refundable and not eligible for a makeup, except in cases of genuine emergency at our discretion.

Makeup classes must be used within 30 days of the missed session and are subject to teacher and schedule availability. Families who miss three or more classes without adequate notice within a single membership term may have their remaining makeup credit eligibility reviewed or revoked.

The Starter Pack and Pronunciation Pack are non-refundable once the first session has taken place, except where required by law.

Class credits and package purchases are valid for 6 months from the date of purchase, after which they expire and are forfeited.

Cancellation by us: if we cancel a class and cannot offer a reasonable makeup, you receive a refund or credit for that class.

Refund method: approved refunds are issued to the original payment method within 10 business days.

We do not provide partial refunds for a billing period already started, unless required by law.

8. Teacher and Student Conduct

We expect a respectful, safe learning environment. We ask that children join classes ready to participate and that parents help ensure appropriate behaviour.

We may remove a participant from a class, or end an enrolment, for conduct that is disruptive, abusive, or unsafe towards teachers or other students. Where we end an enrolment for cause, refunds are handled under Section 7.

Our teachers are engaged by us to deliver instruction. You agree not to solicit or privately engage our teachers outside the Services for the duration of your enrolment and for 12 months afterward.

9. Recordings, Privacy, and Photos

All classes are recorded, for quality, training, and makeup purposes. If you do not want your child recorded, contact us at hello@passport2learning.com.

Our collection and use of personal information, including your child's, is described in our Privacy Policy, which forms part of these Terms, in accordance with applicable Canadian privacy law (including PIPEDA).

We will not use images or recordings of your child for marketing without your separate, explicit consent.

We do not sell personal information to third parties.

10. Intellectual Property and Live Class Materials
All curriculum materials, lesson plans, worksheets, slides, branding, and content provided as part of our Services, whether shared during a live class, sent afterwards, or made available for download, are the intellectual property of Passport 2 Learning (or licensed to us) and remain our property at all times, provided for your child's personal, non-commercial educational use only.
By enrolling in or attending a P2L class, you and your child agree that:

worksheets, slides, and any other materials shared during or after a live class are for the personal educational use of your own enrolled child only;
-
these materials may not be sold, resold, rented, shared, redistributed, posted publicly or privately (including on social media, file-sharing sites, or with other families or teachers), or used for any commercial gain or profit, whether or not money changes hands; and
-
no licence is granted to reproduce, adapt, or build derivative teaching materials, curricula, or products from P2L content for use outside your own family.
This applies regardless of format (PDF, slide deck, printable, video, or otherwise) and regardless of whether the material was provided free as part of a class or purchased separately. Breach of this section may result in suspension or termination of access to current or future Services, without refund, in addition to any other remedies available to us under law.

11. Digital Products
In addition to live classes, P2L may offer digital products for standalone purchase, including but not limited to downloadable worksheets, flashcard sets, printable activity packs, and other digital learning resources ("Digital Products").

Licence granted: purchasing a Digital Product grants you a personal, non-transferable licence to use it with your own enrolled child or immediate family only. Ownership of the material itself is never transferred to you, and the same no resale, no sharing, and no commercial use restrictions in Section 10 apply in full to Digital Products.

Delivery: Digital Products are delivered electronically, either as an instant download or via an emailed link, at the time of purchase.

Refunds: Digital Products are non-refundable once downloaded or delivered, except where the file is faulty, corrupted, or materially not as described.

No guarantee of continued access: unless a Digital Product is tied to an active membership, we do not guarantee ongoing access to downloaded files beyond the point of delivery, and recommend saving your own copy upon purchase.

12. Referral Credit and Affiliate Program
PP2L may, from time to time, offer ways for families and partners to earn credit or compensation for referring new students to us.

12.1 Family Referral Credit

Existing families may receive account credit when a friend they refer enrols in a paid membership or package, using a referral code or link provided by us.

Referral credit is issued once the referred family has completed their first full paid month of membership (or, for one-time packages, 14 days after purchase, to allow time for any refund request).

Referral credit is typically $20 USD per successful referral, applied directly to your PP2L account, and may be used towards future tuition, memberships, or add-ons. It has no cash value, cannot be withdrawn, transferred to another family, or exchanged for cash, and expires after 12 months from the date it is issued if unused.

Referral credit amounts and eligibility criteria may be changed at any time for new referrals; credit already issued will be honoured under the terms in place when it was earned. We reserve the right to withhold or reverse credit obtained through fraudulent, abusive, or self-referral activity.

12.2 Affiliate Program

Where we run a separate affiliate program (for content creators, partners, or other promoters), affiliates may earn a commission for enrolments generated through their unique tracking link or code, as set out in a separate affiliate agreement provided at sign-up.

Commission is typically calculated as a percentage of the first payment made by a referred family, paid out monthly once a minimum payout threshold of $50 CAD has been reached.

Referrals are tracked for 30 days from the point a prospective family first clicks an affiliate's link. A referral is only considered "qualified," and commission earned, once the referred family's payment has cleared and any applicable refund window has passed.

Affiliates are independent of PP2L and are not employees, agents, or representatives of the business. Affiliates must not make misleading claims about P2L, its pricing, or its results, and must clearly disclose their affiliate relationship in accordance with applicable advertising standards and disclosure laws (including, where relevant, Competition Bureau Canada and FTC guidance for affiliates marketing to a Canadian or US audience).

We reserve the right to suspend or terminate any affiliate relationship, and to withhold commission, in cases of fraudulent referrals, self-referrals, spam, or conduct that reflects poorly on PP2L.

12.3 General
Both referral credit and affiliate compensation are discretionary benefits offered at our sole discretion and do not form part of the core Services. We may modify or end either program at any time, with credits or commissions already earned in good faith honoured up to the point of any such change, unless the change is due to fraud or abuse.

13. Disclaimers
The Services are provided on an "as is" and "as available" basis. We do not guarantee any specific educational outcome or level of language proficiency. We do not guarantee that classes will be uninterrupted or error-free, as live online delivery depends on internet connectivity and third-party platforms.

14. Limitation of Liability
To the fullest extent permitted by law, our total liability to you for any claim arising out of the Services is limited to the amount you paid us for the specific class, membership, or Digital Product giving rise to the claim. We are not liable for indirect, incidental, or consequential damages, including technical issues, internet connectivity problems, or third-party platform outages beyond our reasonable control. Nothing in these Terms limits liability that cannot be limited by law.

15. Changes to These Terms
We may update these Terms from time to time to reflect changes to our Services, pricing, or legal requirements. We will post the updated version with a new "Last updated" date and, for material changes affecting active memberships, take reasonable steps to notify you by email at least 14 days in advance. Continuing to use the Services after changes take effect means you accept the updated Terms.

16. Governing Law
These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable there, without regard to conflict-of-law rules. Enrolments made through Outschool are additionally subject to Outschool's own terms of service, dispute resolution process, and jurisdiction. These Terms govern all direct enrolments made through passport2learning.com and any Services delivered off-platform.
